1. Acceptance of Terms

By using our services, you agree to these Terms, our Privacy Policy, and Refund & Cancellation Policy.

2. Definitions

• Services: Digital marketing, SEO, paid ads, email marketing, web development, and consulting
• Client / You: Any user of Captiviz Digital’s services

3. License & Use

• You are granted a limited, non-exclusive, non-transferable license to use our services internally.
• You must not resell, reverse-engineer, or bypass security controls.

4. Payment Terms

• Fees are outlined in the Service Agreement; invoices are due within 15 days.
• Late payments may incur 1.5% interest per month (or the maximum legal rate).
• Payments are processed securely through third-party payment gateways.

5. Refunds & Cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy.

6. Intellectual Property

• We retain IP rights to tools and content provided during service delivery.
• You retain rights to your own data and grant us a license to use it strictly for service delivery.

7. Prohibited Uses

• Illegal or fraudulent activity
• Malware or spam distribution
• Unauthorized system access or disruption
• Violations of laws or third-party rights

8. Suspension & Termination

• We may suspend or terminate service for breach of terms, non-payment, or prohibited use.
• Upon termination, access is revoked, and all confidential data must be deleted.
• Paid fees are non-refundable unless otherwise stated.

9. Confidentiality

Both parties agree to maintain confidentiality regarding internal and non-public information shared during the engagement.

10. Disclaimer & Liability

• Services are provided “as-is” with no guarantee of specific outcomes.
• Our total liability is limited to the fees you paid in the last 12 months.
• We are not liable for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify and hold us harmless against third-party claims arising from your use of our services or violation of these Terms.

12. Governing Law

These Terms are governed by the laws of India. All disputes will be subject to the exclusive jurisdiction of courts in Pune, Maharashtra.

13. Changes to Terms

We may update these Terms at any time. Continued use of our services constitutes your acceptance of the updated Terms.
